Vendor's Policy

1. Introduction
These Vendor Terms & Conditions (“Agreement”) govern the relationship between KETHI FOODS (“Platform”, “Company”, “We”, “Us”) and the registered vendor (“Vendor”, “You”) who lists and sells products through our eCommerce marketplace website.
By registering as a Vendor and listing products on the Platform, you agree to comply with these Terms.
2. Vendor Registration & Eligibility
Vendor must provide accurate, complete, and up-to-date information during registration.
Vendor must possess valid business registration, GST (if applicable), and other statutory licenses.
The Company reserves the right to approve or reject any vendor application at its sole discretion.
Vendor is responsible for maintaining the confidentiality of login credentials.
3. Product Listing & Content
Vendor is solely responsible for product listings, descriptions, images, specifications, pricing, and stock availability.
All listings must be accurate and not misleading.
Prohibited products (illegal, counterfeit, restricted goods, etc.) are strictly not allowed.
The Platform reserves the right to remove or modify listings that violate policies.
4. Pricing & Commission
Vendor has the right to determine product pricing.
The Platform shall charge a commission/service fee of 10% per successful order.
Additional fees (logistics, payment gateway, marketing fees) may apply as per agreed structure.
Commission structure may be revised with prior notice.
5. Orders & Fulfillment
Vendor must process and ship orders within the agreed SLA.
Vendor is responsible for proper packaging and product safety.
Vendor must ensure product availability at the time of listing.
Delays in fulfillment may result in penalties or account suspension.
6. Returns, Refunds & Cancellations
Vendor agrees to comply with the Platform’s return and refund policy.
Refunds for defective/damaged products shall be borne by the Vendor unless otherwise specified.
Excessive cancellations by Vendor may lead to penalties or suspension.
Platform reserves the right to process refunds to customers in case of dispute.
7. Payments & Settlements
Payments will be settled to Vendor after deduction of commission, logistics, and applicable fees.
Settlement cycle: [Bi-weekly].
Payment will be made to the registered bank account.
The Company reserves the right to hold payments in case of disputes, fraud investigations, or chargebacks.
8. Vendor Responsibilities
Vendor agrees to:
Comply with all applicable laws, including GST, consumer protection, and eCommerce regulations.
Not engage in fraudulent, misleading, or deceptive practices.
Maintain product quality standards.
Provide customer support when required.
Ensure intellectual property rights are not violated.
9. Intellectual Property
Vendor grants the Platform a non-exclusive, royalty-free license to use product images, brand names, and descriptions for marketing and promotional purposes.
Vendor warrants that they own or have authorization to use all intellectual property related to listed products.
10. Prohibited Activities
Vendor shall not:
Sell counterfeit or unauthorized products.
Manipulate reviews or ratings.
Misuse customer data.
Attempt to divert customers outside the Platform.
Engage in any activity that harms the Platform’s reputation.
11. Account Suspension & Termination
The Platform may suspend or terminate Vendor accounts if:
Vendor violates these Terms.
Repeated customer complaints occur.
Fraudulent or illegal activity is detected.
Non-compliance with applicable laws.
Vendor may terminate the agreement by providing written notice 5 days in advance.
12. Indemnification
Vendor agrees to indemnify and hold harmless the Company from any claims, damages, losses, penalties, or legal expenses arising from:
Defective products
IP infringement
Regulatory violations
Customer disputes caused by Vendor negligence
13. Limitation of Liability
The Platform shall not be liable for:
Loss of profits or business interruption.
Indirect or consequential damages.
Vendor’s operational losses.
The Company’s maximum liability shall not exceed the commission earned from the Vendor in the preceding 3 months.
14. Confidentiality
Vendor agrees not to disclose any confidential information related to the Platform, including customer data, pricing structures, and internal processes.
15. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of [India /Telangana].
All disputes shall be subject to the exclusive jurisdiction of courts located in [Hyderabad, Telangana].
16. Amendments
The Company reserves the right to modify these Terms at any time. Updated terms will be published on the website. Continued use of the Platform constitutes acceptance of revised terms.
